Terms & conditions.
Last updated: 25 August 2026
These terms and conditions ("Terms") govern the use of this website and the supply of products and services by Hour Glass Solutions (Pty) Ltd ("Hour Glass Solutions", "we", "us", "our") to any client, customer or website visitor ("you", "client"). By using this website, requesting a quotation, placing an order or accepting a proposal from us, you agree to be bound by these Terms. Where a signed quotation, statement of work or master services agreement exists between us and specifically varies these Terms, that document takes precedence.
1. Our services
Hour Glass Solutions provides custom software development, managed ICT and cloud services, Microsoft 365 deployment and administration, cybersecurity services, web infrastructure and hosting, and technology procurement (including the supply of hardware, software licences and cloud subscriptions from vendors such as Microsoft, Dell, Lenovo, Kaspersky, Sophos and Veeam). The exact scope, deliverables and timelines for any engagement are set out in the applicable quotation, proposal or statement of work.
2. Quotations and orders
Quotations are valid for 30 days from the date of issue unless otherwise stated, and are subject to change based on vendor pricing, currency fluctuation or scope changes after that period. An order is confirmed once you accept a quotation in writing (including by email) or make the requested deposit payment, whichever occurs first. We reserve the right to decline or cancel any order prior to confirmation.
3. Pricing, invoicing and payment
All prices are quoted in South African Rand and are exclusive of VAT unless stated otherwise. For procurement and hardware orders, payment is due in full, or as a deposit specified in the quotation, before an order is placed with our suppliers. For custom software and project work, payment is typically structured against agreed milestones as set out in the relevant proposal. For managed services and support, fees are billed monthly or annually in advance. Invoices are payable within the terms stated on the invoice (typically 7 days unless otherwise agreed in writing). We reserve the right to suspend services or withhold deliverables for accounts that fall into arrears, and to charge interest on overdue amounts at the maximum rate permitted by law.
4. Third-party products and licensing
Where we supply or resell third-party hardware, software or cloud subscriptions (including but not limited to Microsoft, Dell, Lenovo, Kaspersky, Sophos and Veeam products), those products remain subject to the relevant manufacturer's or publisher's own end-user licence agreement, warranty terms and support policies. Hour Glass Solutions acts as an authorised reseller/distributor partner in these instances and does not vary, extend or guarantee terms beyond what the manufacturer or publisher provides. We will pass on manufacturer warranty and licence documentation to you on request.
5. Delivery, installation and provisioning
Delivery and installation timelines communicated to you are estimates and may be affected by factors outside our reasonable control, including vendor stock availability, shipping, or third-party platform provisioning times (for example, Microsoft 365 tenant setup). We will notify you of any material delay as soon as we become aware of it.
6. Client responsibilities
You agree to provide accurate information, timely access, approvals and any content, credentials or infrastructure access reasonably required for us to perform the services. Delays caused by incomplete or late information from your side may extend project timelines accordingly and are not treated as a delay on our part.
7. Intellectual property
Unless otherwise agreed in writing, ownership of custom software, code and deliverables created specifically for you transfers to you upon full and final payment for that work. Hour Glass Solutions retains ownership of any pre-existing tools, frameworks, libraries and general know-how used in delivering the work, and grants you a licence to use these to the extent embedded in your deliverable. Third-party components remain subject to their own licences as described in clause 4.
8. Confidentiality
Each party agrees to keep confidential any non-public business, technical or client information disclosed by the other party in the course of an engagement, and to use it only for the purpose of performing or receiving the services.
9. Warranties and disclaimers
We will perform services with reasonable skill and care in line with generally accepted industry standards. Save as expressly stated in a signed proposal or as required by law, we do not warrant that any software or system will be error-free or uninterrupted. Hardware and third-party software are covered solely by the relevant manufacturer's or publisher's warranty as referenced in clause 4.
10. Limitation of liability
To the maximum extent permitted by law, Hour Glass Solutions' total liability arising from any engagement is limited to the amount paid by you for the specific service giving rise to the claim, and we exclude liability for indirect, incidental or consequential loss, including loss of profit or data, except where such exclusion is not permitted by South African law.
11. Data protection
We process personal information you share with us in accordance with the Protection of Personal Information Act, 2013 (POPIA) and our website Privacy Notice. Details on how we collect, use and safeguard personal information are set out at our Privacy Notice.
12. Term, suspension and termination
Either party may terminate an ongoing services agreement on 30 days' written notice unless a different notice period is agreed in a specific statement of work. We may suspend or terminate services immediately for non-payment, or for conduct that we reasonably believe is unlawful or breaches these Terms. Termination does not affect fees already payable for work performed or licences already procured on your behalf up to the termination date.
13. Force majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including load shedding, network or utility outages, natural disasters, or actions of government or third-party vendors.
14. Governing law
These Terms are governed by the laws of the Republic of South Africa, and the parties submit to the non-exclusive jurisdiction of the South African courts.
15. Changes to these Terms
We may update these Terms from time to time to reflect changes in our services or legal requirements. The version published on this website at the time of your order applies to that order.
